Key points
A settlement of a contested occupational injury decision becomes a TAT decision only through the approval required by law. The parties must distinguish that agreement from a civil transaction or withdrawal and establish valid consent and lawful terms.
Overview
An occupational injury dispute can end through a negotiated solution, but the legal effect depends on what the parties actually conclude. An changing the compensation decision, a private addressing employment matters, and of a contestation perform different jobs. A document labelled “full settlement” does not answer who is bound, whether the CNESST decision changes, or which tribunal can enforce the promises.
In the occupational health and safety division of the Tribunal administratif du travail (TAT), (conciliation) operates under ss. 21–25 of the Act to establish the Administrative Labour Tribunal (AITAT). Participation is voluntary, discussions receive statutory protection, and an agreement requires for conformity with the law before becoming the Tribunal’s decision. The compensation regime’s character limits what parties may bargain away or impose on others.
Learning Objectives
- Select the appropriate combination of an approved agreement, a civil transaction and withdrawal for the issues being settled.
- Assess participation, authority, consent and conformity with the law before seeking TAT approval.
- Distinguish protected negotiations from proof of a settlement and identify the appropriate response to an invalid agreement.
Participate voluntarily while preparing the case
Section 21 AITAT makes conciliation dependent on the parties’ consent. A (conciliateur) assists them in seeking an agreement and remains impartial. The conciliator represents neither side and does not become an additional contracting party. Explaining legal consequences, identifying missing participants and declining to prepare an unlawful agreement form part of the role; guaranteeing a particular litigation result does not.
Consent to discuss settlement is different from consent to a settlement. A party may end unsuccessful discussions and proceed to a hearing. Once a valid agreement has actually been concluded, the voluntary nature of conciliation does not create a general right to change one’s mind. The distinction should be made before an offer is accepted, especially where acceptance occurs by telephone or through representatives.
Preparation requires the contested decisions, the evidence supporting each proposed conclusion, and a precise account of the rights affected. Identify whether the objective is recognition of an injury, modification of a medical conclusion properly in issue, resolution of an imputation dispute, or a separate employment arrangement. A party who negotiates only the immediate payment may overlook the effect of admitting no occupational injury or agreeing to a particular consolidation date.
The TAT’s Cadre d’exercice de la conciliation describes the conciliator’s information duties and the parties’ responsibilities. It is an administrative framework, not legislation or a regulation. Its operation must remain consistent with the statute. Its procedural expectations nevertheless matter, including the circumstances requiring CNESST participation and the need for facts supporting the conclusions sought.
Identify all participants and their authority
Parties, representatives and the CNESST
The worker and the relevant employer will commonly participate. Under s. 13 AITAT, the CNESST can intervene by notifying the Tribunal and the parties, thereby acquiring party status. Its role is not that of a witness whose attendance the other parties can dispense with. If it has intervened, its participation and consent must be addressed when settling the dispute. An announced absence from the hearing should not automatically be treated as abandonment of its party status.
The framework’s art. 28 identifies circumstances requiring CNESST participation even without an existing intervention: financing, no employer able to participate, the worker and employer being the same natural person, or negotiations extending to an unchallenged matter within the CNESST’s authority. The conciliator first obtains the parties’ authorization before contacting the CNESST for that purpose. These categories help prevent the parties from disposing of matters affecting the compensation fund without involving its administrator.
Former employers can also be affected. Under ss. 326 and 328 of the Act respecting industrial accidents and occupational diseases (AIAOD), the characterization of a condition as a recurrence or occupational disease can have consequences for the allocation of costs. A current employer’s willingness to settle does not automatically authorize it to bind the employer connected to the initial injury. The parties should identify whose legal position will change, rather than rely exclusively on the names appearing at the latest meeting.
(pouvoir de transiger) requires separate attention. A representative may bind a party within the mandate actually given. Participation in negotiations is relevant evidence, but a job title or a signature does not conclusively establish authority in every case. For a corporate employer, verify who can approve the terms. For the worker, confirm the representative’s instructions concerning recognition, withdrawal and associated employment matters. Clear instructions avoid a later dispute over whether the representative conveyed an offer or accepted it.
Worked example: a recurrence attributed to a former employer
Factual Scenario
A worker and the current employer propose to characterize a disputed condition as a recurrence of an injury sustained with a former employer. The former employer has ceased operations. Their proposed agreement would resolve the current contestation and place the condition within the earlier injury file.
The analysis cannot stop at the current parties’ consent. It must examine the former employer’s status, the statutory allocation consequences and the interests of contributors to the compensation fund. In Farhat et Provigo div. Loblaws Québec, 2012 QCCLP 3186, the Tribunal addressed an agreement’s effect on absent third parties and the CNESST’s role in representing the collective interests involved. The parties should involve the appropriate participants and determine whether a lawful agreement is possible. Closure of a business does not convert another employer into its unrestricted substitute.
Choose the legal form for each promise
An agreement submitted for approval
An agreement (accord) under s. 23 AITAT addresses the decision contested before the Tribunal. In the occupational health and safety division, approval is mandatory: the administrative judge must determine conformity with the law. Once approved, the agreement ends the proceeding and becomes the Tribunal’s decision. It can confirm, modify or reverse the CNESST decision within the matter properly before the Tribunal.
Approval (entérinement) is consequently different from a conciliator acknowledging that discussions succeeded. The proposed disposition must identify what is being decided, which decision is affected, and the facts supporting that outcome. The administrative judge is not obliged to accept an agreement merely because all signatures are present. Conversely, the judge should not substitute a preferred compromise where the parties’ lawful solution has adequate .
A civil transaction
A transaction (transaction) under Civil Code of Québec (CCQ) can resolve disputes through reciprocal concessions or reservations. In this context, it commonly addresses matters outside the precise compensation decision before the TAT. It may accompany an agreement or withdrawal. It is a private contract, is not approved by the occupational health and safety division as its decision, and is ordinarily retained by the parties rather than placed in the TAT file.
A transaction between a worker and employer cannot, by itself, bind the CNESST. If the parties promise that the Commission will recognize an injury, erase costs or make a payment, their private promise does not supply the missing administrative decision or statutory authority. A transaction involving the CNESST may address a matter within its own authority, but the form still must be distinguished from approval of the contested decision.
The forum also changes. Enforcement or annulment of the private transaction belongs to the ordinary civil courts, subject to the applicable rules. The TAT can determine incidentally whether a transaction exists and what effect a withdrawal has on the proceeding before it. That incidental task does not confer general jurisdiction to annul or enforce the transaction. Its indivisibility as to its object under also prevents treating one linked undertaking as though it were an entirely independent procedural act.
Withdrawal and its consequences
Withdrawal (désistement) removes a contestation. A pure withdrawal can be communicated as the party’s own procedural act; it can also form part of an agreement or transaction. It ordinarily leaves the challenged decision in place. A worker who withdraws a contestation of a refusal should therefore understand that the refusal is not converted into acceptance by the withdrawal itself.
Identify each proceeding and each decision affected. A statement withdrawing one TAT file does not necessarily withdraw a grievance or another administrative contestation. Conversely, clearly expressed contractual undertakings to withdraw specified proceedings may have effects even if a separate form was not later filed. A general expression such as “the parties are satisfied” is a poor substitute for defining the scope of the renunciation.
The TAT can examine a pure withdrawal’s validity within its powers under s. 9 AITAT. Where withdrawal forms an indivisible part of a civil transaction, the distinction between assessing its procedural effect and annulling the contract becomes decisive. Selecting a remedy starts with classifying the instrument and identifying the relief actually sought.
Worked example: compensation and an employment payment
Factual Scenario
An employer and worker want to recognize the disputed injury and also settle a separate disagreement concerning the end of employment. They propose one document directing the CNESST to recognize the injury, ordering the employer to pay an employment amount, and declaring every related proceeding withdrawn.
The compensation conclusion should be framed as an agreement for approval within the pending contestation, with supporting facts. The separate employment promises require their own lawful contractual treatment. Any withdrawal must identify the proceedings affected and be coordinated with the agreed conditions. A private employment payment cannot purchase an unsupported compensation finding, and filing a withdrawal too early can leave the original refusal effective. The drafting task is to express the real bargain through instruments capable of producing the intended legal effects.
Test formation and informed consent
Section 23 AITAT prescribes a written record, signatures and attachment of referenced documents. The predominant jurisprudence distinguishes these formalities from formation by an exchange of consent under In Constantineau et Uniboard Canada inc., [2003] C.L.P. 1255, the Tribunal distinguished the conclusion of an agreement from the formalities by which it is recorded and approved. An oral agreement may therefore bind before the documents are signed, provided a genuine meeting of minds is established.
That principle does not make proof of agreement automatic. Identify the accepted terms, any unresolved essential matter, conditions requiring further approval and the representative’s authority. An agreement “subject to approval” must be read according to what approval was reserved and whose approval was required. An administrative notation indicating that settlement is expected does not itself prove that everyone consented.
(consentement libre et éclairé) under concerns both understanding and freedom of choice. addresses error about the nature of the contract, the object of the prestation or an essential element determining consent; inexcusable error does not suffice. addresses fear induced by abusive exercise of a right or authority, or its threatened exercise. The ordinary pressure of choosing between a compromise and a hearing is not automatically an unlawful threat.
The party alleging a (vice de consentement) bears the burden of proving it. Establish what was explained and understood when consent was expressed. Language difficulties, hearing impairment, medication or psychological distress matter when evidence connects them to impaired understanding or choice. None creates automatic incapacity to settle. Appropriate interpretation, accessible explanation, adequate time and reliable representation help establish that the actual consequences were understood.
A later change of mind differs from a defect existing at formation. Hearing that a colleague received a better offer, obtaining another adviser’s less favourable assessment, or wishing afterward to tell one’s story at a hearing ordinarily does not undo valid consent. A mistaken assumption about an essential term may call for a different analysis, but disappointment must not be relabelled as legal error without evidence.
Verify conformity with the law
The framework developed through Vaillancourt et Imprimerie Canada inc., [1993] C.A.L.P. 1227, asks whether the agreement respects public order, the applicable legislation and regulations, the matter in dispute, the conciliation framework, factual support, participation of all required parties, and free and informed consent. These considerations work together. A lawful objective does not cure missing consent; valid consent does not authorize a legally unavailable benefit.
Public order (ordre public) under s. 4 AIAOD and s. 4 of the Act respecting occupational health and safety constrains private choice. Parties can settle genuine uncertainty about facts and applicable conclusions, but cannot invent facts, evade binding provisions or reduce statutory rights through an unlawful bargain. More advantageous employment terms must also be distinguished from an agreement directing the public compensation regime to pay benefits beyond its legal rules. Whether enhanced benefits can be imposed on the public regime requires a separate legal basis; more generous private terms do not themselves establish that basis.
Factual support (fondement factuel) need not take the form of a fully contested merits hearing. The judge checks whether the admitted facts and available evidence can support the proposed conclusions and whether the admissions are manifestly false or inconsistent with the record. The judge does not ordinarily reweigh every competing opinion as though deciding after a trial. A medical conclusion with no supporting basis, however, cannot be created merely by writing that the parties agree.
The subject matter of the contestation remains a further limit. The agreement cannot make the TAT decide a wholly separate question never decided by the CNESST or brought before the Tribunal. An admission is evidence; it is not a grant of adjudicative power. Use the separate transaction mechanism, with the proper participants, for matters outside the dispute that can lawfully be settled elsewhere.
Protect negotiations without concealing invalidity
Section 22 AITAT generally excludes statements and writings from conciliation unless the parties consent to their admission. (confidentialité) survives unsuccessful negotiations and applies to telephone discussions as well as meetings. Concessions made to reach a compromise cannot simply be tendered at the hearing as admissions that the other side’s legal position was correct.
Proof that a settlement exists, its terms, or a defect in consent raises a different question. The protection of negotiations cannot be assumed to conceal every independently relevant fact concerning formation. A completed agreement also differs from a proposed draft. The admissibility analysis should identify the purpose for which a document is offered, the statutory protection involved and whether a recognized exception applies. This prevents both indiscriminate disclosure and an equally indiscriminate claim that every settlement-related document is unavailable.
The conciliator has a distinct protection under s. 25 AITAT against disclosure and compulsion concerning information obtained in the exercise of the role, including personal notes and protected documents. The ability to dispute consent does not give the parties a general entitlement to subpoena the conciliator. In Ninoles et Delom Services inc., 2020 QCTAT 3531, the Tribunal rejected an attempt to obtain protected communications with a conciliator in the circumstances before it. Seek other admissible evidence of formation, including the parties’ own accounts and the final instrument, while preserving statutory protections.
An approved agreement becomes a public tribunal decision, subject to applicable confidentiality measures. A private transaction is not automatically governed by the same evidentiary protection as negotiating exchanges; any contractual confidentiality terms and legal disclosure obligations need separate analysis. Students should distinguish protection of discussions, protection attached to the conciliator, and the public or private status of the final instrument.
Worked example: an offer used as an admission
Factual Scenario
Conciliation fails after an employer offers to accept a consolidation date later than the one it advances at the hearing. The worker seeks to introduce the offer to prove that the employer acknowledged the later date was medically correct. The worker alternatively asks to call the conciliator to confirm the offer.
The proposed use seeks to turn a negotiating concession into merits evidence. Section 22 AITAT protects the exchange absent the required consent; the failure to settle does not remove that protection. Section 25 AITAT separately limits compelling the conciliator. The worker must prove the medically relevant conclusion through admissible evidence. If the real dispute instead concerned whether a final agreement was reached, the purpose and available evidence would require a distinct analysis, without automatically overriding the conciliator’s protection.
Give the settlement its proper finality
Approval under s. 23 AITAT makes the agreement a decision ending the proceeding. Its effects are therefore stronger than a continuing offer. The framework also distinguishes such a negotiated decision from a reasoned merits precedent: its approval does not establish that every similar case must end the same way. The factual admissions and negotiated disposition must be understood within that file.
An unlawful approved agreement can be challenged through the applicable review or mechanism under s. 49 AITAT. Revocation (révocation) may restore the parties to the position preceding the invalid decision. The applicant must establish a legally recognized ground; the procedure is not a second negotiation or general quality-control exercise. The CNESST’s ability to raise such a challenge is not necessarily lost because it did not participate in the original conciliation.
If no agreement is concluded, or the Tribunal refuses approval, s. 24 AITAT provides for a hearing as promptly as possible. Continue preparing admissible proof while negotiation is underway. The possibility of settlement does not establish the claim, cancel hearing notices or replace the legal steps required to protect other pending proceedings.
Practice Checklist
- Identify the contested decision and every separate employment or administrative issue included in the proposed bargain.
- Confirm the parties, affected former employers, CNESST involvement and each representative’s authority.
- Classify each instrument as an agreement, transaction or withdrawal, and state its intended effects.
- Distinguish negotiation from acceptance; record essential terms and express conditions accurately.
- Verify understanding and freedom of consent, including communication barriers and the consequences for future rights.
- Check public order, statutory limits, factual support and the Tribunal’s power over the matter.
- Separate protected exchanges from the final instrument and preserve the conciliator’s statutory protection.
- Obtain required approval, coordinate withdrawals and identify the correct forum for any later challenge or enforcement.
